TERMS OF SERVICE
OVERVIEW
Welcome to Stradley & Daughter! The terms “we,” “us,” and “our” refer to Stradley & Daughter. Stradley & Daughter operates this store and website, including all related information, content, features, tools, products, and services in order to provide you, the customer, with a curated shopping experience (the “Services”). Stradley & Daughter is powered by Shopify, which enables us to provide the Services to you.
The terms and conditions below, together with any policies referenced herein (these “Terms of Service” or “Terms”), describe your rights and responsibilities when you use the Services.
Please read these Terms of Service carefully, as they include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability.
By visiting, interacting with, or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy:
https://www.stradleyjewelers.com/policies/privacy-policy
If you do not agree to these Terms of Service or Privacy Policy, you should not use or access our Services.
SECTION 1 - ACCESS AND ACCOUNT
By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence, and you have given us your consent to allow any of your minor dependents to use the Services on devices you own, purchase, or manage.
To use the Services, including accessing or browsing our online store or purchasing any of the products or services we offer, you may be asked to provide certain information, such as your email address, billing, payment, and shipping information. You represent and warrant that all information you provide is correct, current, and complete and that you have all rights necessary to provide this information.
You are solely responsible for maintaining the security of your account credentials and for all of your account activity. You may not transfer, sell, assign, or license your account to any other person.
SECTION 2 - OUR PRODUCTS
We make every reasonable effort to provide accurate representations of our products and services. However, colors, proportions, gemstone characteristics, finishes, and other visual details may appear differently depending on your screen, device settings, lighting, and other conditions.
Natural gemstones and handcrafted jewelry may also exhibit normal variations in color, pattern, texture, proportions, or other characteristics.
Nothing in this section limits any express warranty, satisfaction guarantee, or other rights described in our published policies or in a project-specific agreement between you and Stradley & Daughter.
All descriptions of products are subject to change at any time without notice at our discretion. We reserve the right to discontinue any product at any time and may limit the quantities of products or services offered to any person, geographic region, or jurisdiction on a case-by-case basis.
SECTION 3 - ORDERS
When you place an order, you are making an offer to purchase. Stradley & Daughter reserves the right to accept or decline an order for any lawful reason at our discretion. Your order is not accepted until Stradley & Daughter confirms acceptance. We must receive and process any required payment before an order is accepted.
Please review your order carefully before submitting it. Depending on the type of jewelry ordered and whether materials, alterations, personalization, sourcing, or production have already been committed, we may be unable to accommodate a cancellation request after an order is accepted.
If we do not accept, modify, or cancel an order, we will attempt to notify you using the email address, billing information, and/or phone number provided with the order.
Purchases, cancellations, returns, and exchanges are governed by our current Shipping & Returns Policy:
https://www.stradleyjewelers.com/pages/shipping-and-returns
Different terms may apply depending on whether jewelry is Ready to Ship, Special Order, Made to Order, Personalized, or Custom & Bespoke. You can review those categories here:
https://www.stradleyjewelers.com/pages/production-categories
You represent and warrant that purchases made through our online store are for your own personal or household use and not for unauthorized commercial resale.
SECTION 4 - PRICES AND BILLING
Prices, discounts, and promotions are subject to change without notice. The price charged for a product or service will be the price agreed to or in effect when the applicable order is accepted, subject to any separate estimate, custom design agreement, repair agreement, or other project-specific terms.
Unless otherwise expressly stated, posted prices do not include applicable taxes, shipping, handling, or other charges that may apply.
Prices offered through our online store may differ from prices offered through other sales channels or by third parties. We may periodically offer promotions that are subject to separate terms and conditions. If a promotion contains terms that conflict with these general Terms, the specific promotion terms will govern that promotion.
You agree to provide current, complete, and accurate purchase, payment, and account information for all purchases. You agree to promptly update information necessary for us to complete transactions and contact you when needed.
You represent and warrant that payment information you provide is accurate, that you are authorized to use the applicable payment method, and that charges properly incurred in connection with your purchase will be honored.
Additional information regarding pricing and estimates is available here:
https://www.stradleyjewelers.com/pages/pricing-estimates-and-payments
SECTION 5 - SHIPPING AND DELIVERY
Production and delivery timelines are estimates unless Stradley & Daughter expressly agrees otherwise in writing.
We are not responsible for delays caused by shipping carriers or circumstances outside our reasonable control.
Shipping methods, tracking, insurance, signature requirements, responsibility for incoming customer property, and claims relating to lost or damaged shipments are governed by our Shipping & Returns Policy and applicable law:
https://www.stradleyjewelers.com/pages/shipping-and-returns
SECTION 6 - INTELLECTUAL PROPERTY
Our Services, including but not limited to our trademarks, brand elements, text, displays, images, graphics, product photography, video, audio, and the design, selection, and arrangement thereof, are owned by Stradley & Daughter, its affiliates, or licensors and are protected by applicable U.S. and international intellectual-property laws.
These Terms permit you to use the Services for personal, non-commercial purposes only. You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit material from the Services without our prior written consent, except as permitted by law.
Nothing in these Terms grants you a license or other ownership right in any patent, trademark, copyright, design, or other intellectual property belonging to Stradley & Daughter, Shopify, or a third party.
Stradley & Daughter’s names, logos, product and service names, designs, and slogans are trademarks or other intellectual property of Stradley & Daughter or its affiliates or licensors and may not be used without prior written permission.
Shopify’s names, marks, and logos remain the property of Shopify. Other names and marks appearing through the Services belong to their respective owners.
Separate intellectual-property provisions may apply to custom or bespoke design projects and will be described in the applicable project agreement.
SECTION 7 - OPTIONAL TOOLS
We may provide access to tools offered by third parties as part of the Services over which we may have limited or no control.
You acknowledge that third-party tools may be provided “as is” and “as available” and may be subject to the terms and privacy practices of the applicable provider.
Your use of optional third-party tools is at your own discretion, and you should review the terms under which those tools are provided.
We may offer additional features, tools, or resources in the future. Such features will also form part of the Services and will be subject to these Terms unless otherwise stated.
SECTION 8 - THIRD-PARTY LINKS
The Services may contain materials or links to websites operated by third parties, including embedded third-party functionality.
We are not responsible for examining or evaluating the content, accuracy, security, terms, or practices of third-party websites or services you choose to access.
If you leave our Services to interact with a third party, you do so subject to that third party’s terms and policies.
Questions, complaints, or claims regarding products or services purchased directly from third parties should generally be directed to the applicable third party.
SECTION 9 - RELATIONSHIP WITH SHOPIFY
Stradley & Daughter is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make through our store are made directly with Stradley & Daughter.
By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of sales between you and Stradley & Daughter, including injury, damage, or loss resulting from products or services purchased from us.
To the extent permitted by applicable law, you release Shopify and its affiliates from claims, damages, and liabilities arising from or related to purchases and transactions made directly with Stradley & Daughter.
SECTION 10 - PRIVACY POLICY
Personal information collected through the Services is governed by our Privacy Policy:
https://www.stradleyjewelers.com/policies/privacy-policy
Certain personal information may also be processed by Shopify in accordance with Shopify’s own privacy practices.
Because the Services are hosted by Shopify, Shopify collects and processes information concerning access to and use of the Services in order to provide and improve its services. Information submitted through the Services may also be transmitted to service providers and partners as reasonably necessary to operate the store, process purchases, communicate with customers, prevent fraud, and provide other requested services.
Please review our Privacy Policy for additional information about how personal information is collected, used, disclosed, and protected.
SECTION 11 - FEEDBACK
If you voluntarily submit reviews, suggestions, general feedback, ideas concerning our website or services, or other similar content intended for us to use or consider as feedback (“Feedback”), you grant us a worldwide, royalty-free license to use, reproduce, modify, publish, distribute, and display that Feedback for purposes including operating, improving, evaluating, or promoting our Services.
You represent that you have the necessary rights to submit such Feedback and that it does not violate applicable law or the rights of another person.
We may, but are not required to, monitor or remove publicly submitted Feedback that we reasonably determine to be unlawful, defamatory, abusive, obscene, misleading, infringing, or otherwise inappropriate.
For clarity, “Feedback” does not include confidential project information, customer-supplied design materials, photographs submitted in connection with a private project, heirloom or personal history shared with us, or materials created or supplied in connection with custom design, repair, redesign, appraisal, or similar services. Rights relating to those materials are governed by the applicable project agreement, Privacy Policy, photography authorization, and other specific terms between you and Stradley & Daughter.
SECTION 12 - ERRORS, INACCURACIES AND OMISSIONS
Occasionally, information provided through the Services may contain typographical errors, inaccuracies, or omissions concerning product descriptions, pricing, promotions, offers, shipping charges, transit times, availability, or other information.
We reserve the right to correct errors, inaccuracies, or omissions and to update information when appropriate, including after an order has been submitted, subject to applicable law and any binding project-specific agreement.
If an error materially affects an accepted order, we will contact you when reasonably necessary to discuss available options.
SECTION 13 - PROHIBITED USES
You may access and use the Services for lawful purposes only.
You may not access or use the Services, directly or indirectly:
(a) for an unlawful or malicious purpose;
(b) to violate applicable international, federal, state, provincial, or local laws;
(c) to infringe our intellectual-property rights or those of another party;
(d) to harass, abuse, threaten, defame, intimidate, or unlawfully harm another person;
(e) to transmit false or intentionally misleading information;
(f) to knowingly transmit or distribute material that violates these Terms;
(g) to transmit unauthorized advertising, junk mail, spam, chain letters, or similar solicitations;
(h) to impersonate another person or entity; or
(i) to engage in conduct that interferes with another person’s use of the Services or exposes Stradley & Daughter, Shopify, or another user to unlawful harm or liability.
You also agree not to upload or transmit malicious code; improperly reproduce, extract, sell, or exploit portions of the Services; unlawfully collect personal information; spam, phish, pharm, or pretext; circumvent security measures; or use automated systems in a manner prohibited by these Terms or our technical controls.
We reserve the right to suspend or terminate access to the Services where we reasonably determine these Terms have been materially violated.
SECTION 14 - AGENTS
This section (“Agent Terms”) applies if you use, allow, enable, or cause the deployment of an automated or semi-automated software agent (“Agent”) to access, use, or interact with the Services.
An Agent may access the Services only in compliance with applicable technical restrictions and these Terms.
We may use technical measures to control whether and how Agents interact with the Services.
Agents must truthfully identify automated activity where required, must not disguise automated activity as human activity, must not circumvent CAPTCHAs or access controls, and must not bypass measures intended to restrict automated access.
SECTION 15 - TERMINATION
We may terminate these Terms or suspend access to the Services, in whole or in part, where reasonably permitted by law, including for violations of these Terms.
Termination does not eliminate payment obligations or other obligations properly incurred before termination.
Sections that by their nature should survive termination—including provisions concerning intellectual property, privacy, payment obligations, warranties, liability, indemnification, severability, and governing law—will continue to apply.
SECTION 16 - DISCLAIMER OF WARRANTIES
Information presented through the Services is provided for general informational purposes unless expressly stated otherwise.
We do not guarantee that general website information will always be complete, current, or free from error, and reliance on general informational content is at your discretion.
Except for express warranties, guarantees, commitments, and rights specifically provided by Stradley & Daughter or required by law, the website and related digital Services are provided on an “as is” and “as available” basis.
We do not guarantee that access to the website will always be uninterrupted, secure, timely, or error-free.
Nothing in this section limits any express warranty or obligation made by Stradley & Daughter in our Warranty & Satisfaction Guarantee, a signed project agreement, or any right or remedy that cannot lawfully be limited or excluded.
Our current Warranty & Satisfaction Guarantee is available here:
https://www.stradleyjewelers.com/pages/satisfaction-guarantee
SECTION 17 - LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, Stradley & Daughter and our owners, directors, officers, employees, affiliates, agents, contractors, service providers, and licensors will not be liable for indirect, incidental, punitive, special, or consequential damages arising solely from use of the website or digital Services, including lost profits, lost revenue, lost data, or similar losses, except where liability cannot lawfully be limited.
Nothing in these Terms excludes or limits liability to an extent prohibited by applicable law.
Nothing in this section limits any express warranty or obligation made by Stradley & Daughter in our Warranty & Satisfaction Guarantee, a signed custom design or repair agreement, or another project-specific agreement, nor does it eliminate liability that applicable law does not permit us to disclaim.
SECTION 18 - INDEMNIFICATION
To the extent permitted by applicable law, you agree to indemnify and hold harmless Stradley & Daughter, Shopify, and our respective affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from third-party claims arising from:
- your material breach of these Terms or policies incorporated into them;
- your violation of applicable law or another person’s rights; or
- unlawful or unauthorized use of the Services.
We will provide reasonable notice of an indemnifiable claim where practicable. Failure to provide prompt notice will not relieve an obligation except to the extent the delay materially prejudices the defense.
SECTION 19 - SEVERABILITY
If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision will be enforced to the fullest extent permitted by law or severed to the minimum extent necessary.
The remaining provisions will continue in effect.
SECTION 20 - WAIVER; ENTIRE AGREEMENT
Our failure to exercise or enforce a right or provision of these Terms does not constitute a waiver of that right or provision.
These Terms, together with policies incorporated by reference, govern general use of the website and Services.
If you enter into a separate written agreement with Stradley & Daughter for custom design, repair, redesign, appraisal, personalized work, or another specific service, that agreement—and any estimate, approved design, work order, or other terms incorporated into it—will govern that project to the extent it conflicts with these general Terms.
Nothing in this section is intended to erase or supersede a valid project-specific agreement between you and Stradley & Daughter.
SECTION 21 - ASSIGNMENT
You may not transfer or assign your rights or obligations under these Terms without our prior written consent where such consent is permitted to be required by law.
We may assign or transfer our rights and obligations in connection with a merger, acquisition, restructuring, sale of the business, or similar transaction, subject to applicable law.
SECTION 22 - GOVERNING LAW
These Terms and disputes arising from them will be governed by the laws of the State of Connecticut, without regard to conflict-of-law principles, except to the extent applicable consumer-protection law requires otherwise.
Subject to rights or remedies available to you under applicable law, disputes relating to these Terms may be brought in state or federal courts having jurisdiction in Connecticut.
A separate project agreement may contain additional terms applicable to that particular transaction.
SECTION 23 - HEADINGS
Headings are included for convenience only and do not limit or otherwise affect the interpretation of these Terms.
SECTION 24 - CHANGES TO TERMS OF SERVICE
You may review the most current version of these Terms at any time on this page.
We reserve the right to update or replace portions of these Terms by posting revised Terms on our website.
Where required by applicable law, we will provide notice of material changes. Changes will become effective on the date stated in the applicable notice or posted update.
Continued use of the Services after revised Terms become effective constitutes acceptance of those revised Terms to the extent permitted by law.
